Terms & Conditions

These Terms govern your use of VendorReadyHQ (the “Service”), operated by ASRE HOLDINGS (“we”, “us”). By creating an account or continuing to use the Service you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind that organization.

The service

VendorReadyHQ helps property management companies track vendor records, insurance certificates, licences and other documents, and sends renewal reminders. The Service reports what your records show. It does not verify documents with insurers or issuing authorities, and it does not provide legal, insurance or compliance advice or determine whether you meet any legal or contractual requirement. You remain responsible for your own compliance decisions.

Your account

• Provide accurate information and keep it up to date.
• Keep your credentials confidential; you are responsible for activity on your account.
• Your workspace data is private to your organization and its invited members.

Acceptable use

You must not:

• Use the Service unlawfully, or for fraud, spam or harassment.
• Upload content you do not have the right to upload, or infringe anyone’s intellectual property.
• Probe, scrape, reverse engineer, or interfere with the security or integrity of the Service.
• Resell, redistribute or circumvent the technical limits of your plan.

Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. We retain all rights in the Service, its software, documentation and branding. You keep ownership of the data you upload, and grant us a limited licence to host and process it solely to provide the Service.

Payment, subscriptions and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. Subscriptions renew automatically each billing period until cancelled. Cancelling stops future renewals; access continues until the end of the period you have already paid for. Refunds are described in our Refund Policy (14-day window).

Service availability

We work to keep the Service reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination you may export your data for 30 days, after which it may be deleted.

Liability

To the fullest extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months before the claim, and we exclude indirect, consequential or special damages including lost profits, data or goodwill. Nothing excludes liability for fraud, death or personal injury where the law does not permit exclusion. You will indemnify us against claims arising from your content, unlawful use, or breach of these Terms.

General

You may not assign these Terms without our consent; we may assign them in a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These Terms are governed by the laws of the jurisdiction in which ASRE HOLDINGS is registered, and its courts have exclusive jurisdiction. We may update these Terms and will post the revised version here.
